Sanskriti Global Exim
Merchant Exporter & Commodity Supplier
Standard Mercantile Contract

Terms of Global Trade

These terms define the commercial, logistics, financial, and risk-allocation parameters under which Sanskriti Global Exim contracts with international institutional buyers, importers, and industrial processors.

Clause 1.0

Contract Formation & Commercial Quotations

All commercial proposals, spot quotations, and price matrices issued by Sanskriti Global Exim are indicative and subject to written re-confirmation due to prevailing agricultural market price fluctuations. A binding export commitment is established exclusively upon issuance of a formal Proforma Invoice (PI) duly countersigned by both buyer and seller.

Proforma Invoice Validity Window:

Due to perishable crop commodity index volatility at APMC mandis, formal quotations expire within five (5) business days from transmission date unless specifically agreed otherwise in writing.

Clause 2.0

Incoterms® 2020 Delivery Allocations

All international consignments are executed in strict accordance with the International Chamber of Commerce (ICC) Incoterms® 2020 guidelines under the following parameters:

FOB (Free on Board)

Seller is responsible for aggregation, domestic transit, export clearances, port terminal handling charges (THC), and stowing cargo on board ocean vessel at designated Indian origin ports (JNPT, Nhava Sheva, Mundra, or Chennai). Risk passes to buyer once goods pass the vessel's rail.

CIF / CFR (Discharge Port)

Seller books freight space and procures Marine Cargo Insurance (Institute Cargo Clauses 'A' or 'All Risks' covering 110% of CIF value). Demurrage or detention charges occurring at destination port due to delayed customs clearance by buyer remain exclusively buyer's responsibility.

Clause 3.0

Payment Terms & Settlement Architecture

Export consignments are secured exclusively through verified international trade finance structures:

  • 1. Irrevocable Documentary Letter of Credit (LC at Sight): Issued or confirmed by an internationally recognized Tier-1 commercial banking syndicate. LC must be payable 100% at sight upon presentation of complete compliant shipping documentation.
  • 2. Telegraphic Transfer (T/T Advance + B/L): Standard terms comprise 30% advance deposit upon contract confirmation to fund crop aggregation and sorting, with remaining 70% balance payable against transmission of clean on-board Ocean Bill of Lading (B/L) copy.
Clause 4.0

Quality Inspection & Origin Finality

Pre-shipment inspection is conducted prior to container stuffing by independent accredited surveying agencies such as SGS India, Bureau Veritas, or Intertek.

The Certificate of Analysis (CoA) and Inspection Certificate issued by the designated inspection body at origin port constitutes final proof of contracted quality parameters, counts, and moisture levels. Retained sealed reference samples are preserved for ninety (90) days following container departure.

Clause 5.0

Phytosanitary & Statutory Export Dossier

Sanskriti Global Exim guarantees the provision of a full, authenticated statutory shipping dossier accompanying every container, including:

verified Government Phytosanitary Certificate
verified Certificate of Origin (Chamber of Commerce)
verified Clean On-Board Ocean Bill of Lading (3/3)
verified Commercial Invoice & Detailed Packing List
verified Fumigation & Methyl Bromide / Phosphine Cert
verified Third-Party Lab Test Analysis (SGS / BV)
Clause 6.0

Marine Transit & Force Majeure

Neither party shall be held legally responsible for breach or failure to perform contractual commitments when such failure is caused by an act of Force Majeure as codified under the ICC Force Majeure Clause 2020. This includes governmental export embargoes, war, sovereign maritime blockades, pandemics, port labor strikes, or natural catastrophic disasters impacting regional cultivation.
